Conditional Issuance of Shares

Mont–Saint–Guibert, Belgium – April 16, 2025, 8:00 am CET / 2:00 am ET – Nyxoah SA (Euronext Brussels/Nasdaq: NYXH) (“Nyxoah” or the “Company”), today announced a conditional issuance of up to 5 million ordinary shares under its existing at–the–market equity offering programs (the “ATM”). This brings the aggregate number of ordinary shares that can be sold and issued under the Company’s ATM to 5,662,694 (the “ATM Shares”), which includes 662,694 shares that are still available from the conditional issuance of shares under the ATM decided upon on December 22, 2022.

Pursuant to the existing sales agreement entered into by the Company on December 22, 2022, ATM Shares may be sold from time to time at a sales price per ATM Share equal to prevailing USD market prices of the Nyxoah ordinary share on the Nasdaq Global Market at the time of the sale.

Émission Conditionnelle d’Actions

Mont–Saint–Guibert, Belgique – le 16 avril 2025, 8:00h CET / 2:00h ET – Nyxoah SA (Euronext Brussels/Nasdaq: NYXH) (“Nyxoah” ou la “Société”), a annoncé aujourd’hui une émission conditionnelle de jusqu’à 5 millions d’actions ordinaires dans le cadre de ses programmes d’offre d’actions “at the market” existants (l’“ATM”). Cela porte le nombre total d’actions ordinaires qui peuvent être vendues et émises dans le cadre de l’ATM de la Société à 5.662.694 (les “Actions ATM”), ce qui inclut 662.694 actions encore disponibles de l’émission conditionnelle d’actions sous l’ATM décidée le 22 décembre 2022.

Conformément au contrat de vente existant conclu par la Société le 22 décembre 2022, les Actions ATM peuvent être vendues de temps en temps à un prix de vente par Action ATM égal aux prix du marché USD en vigueur de l’action ordinaire Nyxoah sur le Nasdaq Global Market au moment de la vente.
